13+1 Issues to Pay Special Attention to When Establishing a Company!

First and most importantly: if you are told that “company formation is based on a standard template and it cannot be changed,” immediately turn to another lawyer! There are some basic considerations when choosing a company name: The chosen name must not be misleadingly similar to the name of an existing company – there must be a difference of at least 3 characters. It must not refer to any unlawful activity and must not infringe the exclusivity of another company in any way. When establishing a company, you only need the valid personal identification documents of the members and executive officers, as well as the information listed in the company formation form. You do not need to obtain the title deed for the property serving as the registered office, as this would involve unnecessary effort and expense – the lawyer can obtain it electronically. However, the right to use the registered office must be verified with a declaration, which you need to obtain from the owner of the registered office.

If the articles of association are established with a 50–50% ownership structure, this should not be confused with a situation where the owners share the position of managing director with joint signing authority. In the latter case, they have to appear together everywhere, and all documents must be signed by both managing directors, which can make business operations more difficult. When one of the managing directors is on summer holiday, the other cannot give their consent to anything independently.

When establishing a company, make sure to clarify an important provision concerning employment: the sole member of a single-member LLC may only have an employment relationship with the company if the articles of association expressly allow it. There are several possible solutions, and we are happy to help.

When establishing an LLC, the main business activity should be carefully considered, as it can only be changed later through the Court of Registration and upon payment of the applicable fees. Secondary business activities can be changed free of charge by the managing director (or the accountant). We recommend specifying only the business activities that are absolutely necessary at the time of incorporation

When company details change, the changes to the company register must be officially registered within 30 days. The Court of Registration may initiate legality supervision proceedings, and the tax authority (NAV) may suspend the company’s tax number.

There are several reasons why it is advisable to have your accounting handled by the same office that handles your company formation. First, you already trust them, as you chose them for this reason. Second, immediately after company formation, there are notification obligations towards the tax authority (NAV) and the Statistical Office, and when an employment relationship is established, towards other authorities as well. Failure to comply may result in a fine of up to 500,000 HUF. It is reassuring to have these tasks in reliable hands from the very beginning!

Keep in mind whether your business will qualify for VAT exemption. If you are not properly informed about the importance of VAT before establishing your company, you may lose the opportunity to reclaim VAT or end up overpaying, and you can only change your VAT status once a year.

12.

The company may operate as a pre-company from the date on which the articles of association are countersigned by a lawyer. This means that it may already carry out business activities. Nowadays, the significance of a pre-company has decreased considerably due to one-hour company registration, but it can still be important if the company registration is delayed for any reason.

13.

A bank account must be opened within eight days of company registration by forwarding the file with the .es4 extension sent by the lawyer to the bank. The financial institution notifies the Court of Registration about the opening of the bank account, so you have no separate reporting obligation in this regard.
